These Terms and Conditions (“Terms”) govern your access to and use of the Notify365 platform, website, and services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to be legally bound by these Terms. If you do not agree, you may not use the Service.

1. Description of the Service
Notify365 is a cloud-based communication and customer relationship management (CRM) platform that enables users to send and receive communications via SMS, voice calls, MMS, WhatsApp, email, and other messaging channels, as well as manage contacts, automation, notifications, and related business workflows.
Notify365 acts solely as a technology provider and does not provide legal, financial, medical, insurance, or other professional advice.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.
By registering, you represent and warrant that you are authorized to act on behalf of any company or entity you represent, and that all information you provide is accurate, complete, and up to date.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account. You agree to notify Notify365 immediately of any unauthorized access or security breach.
Notify365 is not liable for losses resulting from unauthorized account access caused by your failure to safeguard credentials.
4. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, state, federal, or international laws.
- Send spam, unsolicited messages, or bulk communications without proper consent.
- Engage in fraudulent, deceptive, abusive, or misleading practices.
- Transmit unlawful, harmful, threatening, defamatory, obscene, or harassing content.
- Violate TCPA, CAN-SPAM, A2P messaging rules, carrier policies, or similar regulations.
- Attempt to bypass system safeguards, rate limits, or security mechanisms.
Notify365 reserves the right to suspend or terminate accounts that violate this policy without notice.
5. Messaging Compliance
You are responsible for compliance with applicable laws and policies, including (where applicable) TCPA, CTIA guidelines, carrier requirements, and local/international messaging regulations. Notify365 shall not be liable for fines, penalties, legal actions, or damages arising from your communications.
6. Third-Party Services
The Service integrates with third-party providers, including but not limited to messaging/voice providers, payment processors, email providers, and cloud infrastructure services. Notify365 is not responsible for downtime, delays, delivery failures, carrier filtering/blocking, or changes to third-party pricing, policies, or availability.
Your use of third-party services is subject to their respective terms and conditions.
Google Gmail integration (OAuth)
If you choose to connect a Google Gmail account, you authorize Notify365 via Google OAuth to access your Gmail data only to provide the email features you enable inside the Service. This integration is optional and requires your explicit consent.

Read/manage emails: With Gmail permissions such as
gmail.modify(or equivalent), Notify365 may retrieve and display your incoming emails inside the app and perform limited actions you request (e.g., marking messages as read/unread and applying labels needed for organization within the Service). -
Send emails: With Gmail permissions such as
gmail.send, Notify365 sends emails only when you initiate the action from within the Service (for example, composing or replying to an email).
Notify365 does not access Gmail without your consent, does not sell Gmail data, and does not use Gmail data for advertising. You can disconnect Gmail at any time in Notify365 and you may also revoke access from your Google Account security settings.
7. Billing, Usage, and Payments
Fees are based on your subscription plan and usage. Messaging, calls, and other usage-based services may incur variable costs. Unless required by law, all payments are non-refundable. Notify365 may suspend the Service for non-payment or excessive usage.
You are responsible for reviewing your usage and invoices regularly.
8. Phone Numbers
If Notify365 provisions phone numbers on your behalf, you acknowledge that phone numbers are leased (not owned), availability is not guaranteed, and numbers may be reclaimed if your account is terminated or suspended. Notify365 is not responsible for loss of numbers due to non-payment or carrier policies.
9. Data and Privacy
You retain ownership of your data. By using the Service, you grant Notify365 permission to process data solely to provide and improve the Service. If you connect third-party services (including Google Gmail), Notify365 will process the related data only to deliver the features you enable. 10. Service Availability
The Service is provided on an “as-is” and “as-available” basis. Notify365 does not guarantee uninterrupted service, error-free operation, or delivery of messages or calls. Scheduled maintenance or unexpected outages may occur.
11. Limitation of Liability
To the maximum extent permitted by law, Notify365 shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, or regulatory fines or legal actions related to your use of the Service.
Notify365 is not responsible for interruptions, errors, or limitations caused by third-party services or APIs (including Google services), or changes to third-party policies and availability.
Notify365’s total liability shall not exceed the amount paid by you to Notify365 in the three (3) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Notify365, its officers, employees, and affiliates from any claims, damages, liabilities, fines, penalties, or expenses arising from your use of the Service, your communications or content, your violation of laws or regulations, or your breach of these Terms.
13. Termination
Notify365 may suspend or terminate your account at any time for violation of these Terms, legal or regulatory requirements, or risk to the platform or third parties. Upon termination, access to the Service will cease immediately.
14. Modifications to the Terms
Notify365 may update these Terms at any time. Continued use of the Service constitutes acceptance of the revised Terms.
15. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts located in Miami-Dade County, Florida.
